Vital Healthcare annual meeting resolutions

Vital Healthcare Management Limited (the ‘Manager’), the manager of Vital Healthcare Property Trust (‘Vital’) today announced the results of the resolutions presented to unitholders at the annual meeting held on 31 October 2012.

The Manager is pleased to announce the reappointment of Graeme Horsley (Resolution 1) and the appointment of Claire Higgins (Resolution 2) as Independent Directors of Vital Healthcare Management Limited.

Resolution 3 regarding the amendments to the Trust Deed was passed as an extraordinary resolution by poll under the Trust Deed. A majority consisting of not less than 75% of votes was required to approve the extraordinary resolution. Votes for the resolution were received in respect of 74,334,427 (94.45%) units and votes against the resolution were received in respect of 4,364,680 (5.55%) units.

As unitholders have voted to adopt the amendments to the Trust Deed, the Manager and Trustees Executors Limited in its capacity as trustee of Vital will now proceed to execute a Deed of Amendment and Restatement of the Trust Deed. Graeme Horsley and Claire Higgins will, on the date the Deed of Amendment is executed and becomes effective, be the first Independent Directors deemed to be elected under the new provisions of the Trust Deed.

A copy of the executed Deed of Amendment will be filed with the Companies Office. Copies of the Deed of Amendment together with the amended and restated Trust Deed will also be available from the Manager’s office during normal business hours, located at Level 16, AIG Building, 41 Shortland Street, Auckland 1010.
