Nominations Have Closed for the 2013 Fonterra Elections
Dear Sir or Madam,

Nominations for the 2013 Fonterra Elections closed at 12 noon on Friday, 13 September 2013.

The candidates for the Fonterra Board of Directors’ Election will be announced on Tuesday, 1 October 2013 following the completion of the Candidate Assessment Panel (CAP) process. Board of Directors’ candidates must confirm their nomination with the Returning Officer by this date. The CAP interviews are being held on Monday to Wednesday, 16 – 18 September 2013.

The Returning Officer, Warwick Lampp, also confirmed there will not be an election for the Directors’ Remuneration Committee, as Shareholders Scott Montgomerie and Gerard Wolvers have been elected unopposed. Paul Todd has also been elected unopposed as the Fonterra Farmer Custodian Trustee.

Nominations were also called for candidates for the Shareholders’ Council in 14 wards. An election is required in two wards, as follows:

21 – Coastal Taranaki Lloyd Morgan

There was one nomination received in 10 of the other 12 wards and 2 nominations in Ward 33. No election will be held in these wards. The formal declaration of these candidates as Shareholders’ Councillors will be made in conjunction with the results of the elections at the Annual Meeting.

Ward 12 Cambridge Kevin Monks

Ward 18 Otorohanga Duncan Coull
Ward 24 Southern Taranaki David Werder
Ward 27 Southern Manawatu Richard Syme
Ward 30 Northern Central Canterbury Ange Ward
Ward 32 Southern Canterbury John Gregan
Ward 33 Otago Ad Bekkers and Ivan Lines

There were no nominations received in Ward 31 Mid Canterbury for a second Councillor. Charles Whitehead is the incumbent in that ward and continues in his role. The Shareholders’ Council will consider the options for filling this vacancy in the near future.

All successful candidates take office at the close of the 2013 Fonterra Annual Meeting of Shareholders. The successful candidate in Ward 8 (Hamilton) will hold office until 2015 when the vacating Councillor was due to retire by rotation unless the review of Ward boundaries leads to changes in that Ward.

The Councillors-elect in Ward 32 (Southern Canterbury) and Ward 33 (Otago) will hold office for one year by which time the Ward boundary review will have taken place and appropriate amendments to existing wards implemented in time for the 2014 election cycle.

Voting Packs, containing candidate profiles, will be mailed to eligible shareholders on Friday, 1 November 2013. Shareholders can vote by internet, fax or post, using the Single Transferable Vote (STV) system.

The voting period is from Friday, 1 November until 10.30am on Monday, 25 November 2013 with the results being announced later that day.
